AGREEMENT - GLOBALink includes the time sharing services,
data and databases that are offered as a custom electronic communications
network ("Network") sponsored and operated by the UICC.
This Agreement contains the entire Agreement between you and the
UICC and supersedes all prior written and oral understandings
and writings. This Agreement may be revised by the UICC at any
time upon written notification by the UICC, and you agree that
you shall be bound by the terms of such revised agreement, subject
to your right to terminate under Sections 2 and 7 below.
RESPONSIBILITY FOR ACCOUNT USAGE - You are responsible for
all information or action originated by your GLOBALink identification
(you or anyone using GLOBALink identification) and for any violation of this
Agreement by anyone using your GLOBALink identification.
RIGHTS OF INFORMATION - All information offered on the Network
is the sole and exclusive property of either the UICC, or its
subcontractors and you agree that, unless specific permission
is granted in writing, you will not publish, broadcast, retransmit,
or resell such information or in any way violate the copyright
of any provider of information to the Network. This provision
is for the benefit of the UICC and its subcontractors and each
shall have the right to enforce its rights hereunder and on its
own behalf.
MANAGEMENT OF THE NETWORK - The UICC reserves the right to
add, modify, or delete any of the services offered on the Network
at any time.
DISCLAIMER OF WARRANTIES - Services on the Network are offered
on an AS IS basis. Neither the UICC nor its subcontractors make
any warranties, express or implied, concerning these services,
including without limitation, warranties of merchantability and
warranties of fitness for a particular purpose.
In no event shall the UICC or its subcontractors be liable for
any direct, indirect, special or consequential damages caused
by any failure of performance, mistakes, omissions, interruptions,
deletion of files, defects, delays in operations or transmission,
communications lines failure, theft, destruction, unauthorized
access to or use of your Network records, files or programs, or
for any failure of inability to perform by the UICC or its subcontractors
dues to any cause beyond their control.
TERM AND TERMINATION - This agreement is effective from the
date of acceptance by the UICC of your Membership Application. Except
as indicated below and in Section 2 hereof, this Agreement may
be terminated by either party without cause upon 30 days written
notice to the other party.
The UICC shall have the right to terminate this Agreement or suspend
access to the Network without notice in the event that you :
have breached this Agreement in any way;
have used the Network for unlawful or improper purpose or unauthorized advertising;
have interfered or threatened to interfere with any other person's privacy or proprietary rights;
have proffered insults towards other Network Member(s).
Neither the UICC nor its subcontractors shall be liable to you
for any cost, expense, or damages whatsoever for terminating this
Agreement as provided in Section 7 hereof.
MISCELLANEOUS - This Agreement is subject to approval of the
UICC, may not be assigned by you and shall be governed by the
laws of Geneva, Switzerland.
The UICC takes no responsibility with regard to the content of
Conference Notes or E-mail. To disseminate GLOBALink Conference
Notes, the authors' permission is required. E-mail messages are
confidential and must not be disseminated in any form without
the prior authorisation of their author(s).
